Welcome to NoteArch, an AI-powered Intelligent Academic Lifecycle Management System (IALMS) designed to support students, teachers, parents, tutors, administrative staff, financial supporters, and job providers in managing academic notes and related activities. By accessing or using NoteArch, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, please do not use the platform.
These Terms govern your use of NoteArch’s services, including the platform, mobile applications, and related features (collectively, the “Services”). By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to these Terms, as well as our System Privacy Policy, Teacher and Staff Privacy Policy, and Student and Parent Privacy Policy. These Terms apply to all users, including students, parents, teachers, administrative staff, tutors, financial supporters, and job providers (collectively, “Users”).
To use NoteArch, you must:
Be at least 13 years old. Users under 13 require verifiable parental consent per the Children’s Online Privacy Protection Act (COPPA).
Have the legal capacity to enter into these Terms or have authorization from a parent, guardian, or institution.
Be affiliated with an academic institution, organization, or stakeholder group using NoteArch for educational purposes.
Account Creation: Users must provide accurate and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
Authorized Use: Accounts are for individual use and may not be shared. You agree to notify NoteArch immediately of any unauthorized access at support@notearch.com.
Role-Based Access: Access to data (e.g., notes, grades) is limited to your role (e.g., student, teacher, parent) and must align with legitimate educational interests under the Family Educational Rights and Privacy Act (FERPA).
You agree to use NoteArch solely for educational and administrative purposes related to the Intelligent Academic Lifecycle (IAL). Prohibited activities include:
Uploading or sharing content that is unlawful, defamatory, obscene, or violates intellectual property rights.
Attempting to access unauthorized data or bypass security measures.
Using the Services for commercial purposes, advertising, or non-educational activities.
Engaging in activities that disrupt or harm the platform, such as introducing malware or overloading servers.
NoteArch Content: The platform, including its software, design, and AI tools, is owned by NoteArch and protected by intellectual property laws. Users are granted a non-exclusive, non-transferable license to use the Services for educational purposes.
User Content: Users retain ownership of their content (e.g., notes, assignments). By uploading content, you grant NoteArch a worldwide, non-exclusive license to store, process, and share it as necessary to provide the Services (e.g., for grading or archival), subject to our privacy policies.
Restrictions: You may not copy, modify, distribute, or reverse-engineer any part of NoteArch without prior written consent.
NoteArch is committed to protecting User data. Please review our System Privacy Policy, Teacher and Staff Privacy Policy, and Student and Parent Privacy Policy for details on data collection, use, and protection. Key points include:
Data is encrypted using industry-standard methods (e.g., XChaCha20-Poly1305-IETF, AES-256).
Role-based access ensures only authorized Users view relevant data.
Compliance with FERPA, COPPA, and state laws like California’s SOPIPA.
NoteArch uses AI for tasks like note assessment and career recommendations. Users agree:
To provide accurate data to ensure AI accuracy.
That AI outputs are tools for educational support and not definitive decisions.
To opt out of non-essential AI features (e.g., analytics) if desired, as outlined in our privacy policies.
NoteArch may use third-party vendors (e.g., cloud providers) to deliver Services. These vendors are bound by contracts ensuring compliance with privacy and security standards. NoteArch is not responsible for third-party content or services linked from the platform.
By Users: You may terminate your account by contacting support@notearch.com. Data will be deleted per our privacy policies, subject to legal retention requirements.
By NoteArch: We may suspend or terminate your access for violating these Terms, engaging in prohibited activities, or at our discretion with notice. Upon termination, your license to use the Services ends, but certain provisions (e.g., intellectual property, liability) survive.
As-Is Basis: NoteArch provides Services “as is” without warranties of any kind, express or implied, including accuracy or fitness for a particular purpose.
AI Limitations: AI-driven features (e.g., grading, recommendations) are tools to assist Users and may not be error-free. Users are responsible for verifying outputs.
Availability: NoteArch strives to maintain uninterrupted access but is not liable for downtime or technical issues beyond our control.
To the fullest extent permitted by law, NoteArch is not liable for:
Indirect, incidental, or consequential damages (e.g., loss of data, academic opportunities).
Damages exceeding $100 or the amount paid for Services (if any).
Issues arising from User errors, unauthorized access, or third-party actions.
You agree to indemnify and hold NoteArch harmless from claims, damages, or losses arising from your violation of these Terms, misuse of the Services, or infringement of third-party rights.
Governing Law: These Terms are governed by the laws of the United States and the state of [TBD], without regard to conflict of law principles.
Disputes: Any disputes will be resolved through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration in [TBD], following American Arbitration Association rules, except for claims related to intellectual property or privacy, which may be litigated in court.
NoteArch may update these Terms to reflect changes in Services or legal requirements. Users will be notified via email or platform announcements at least 30 days before changes take effect. Continued use of NoteArch constitutes acceptance of the updated Terms.

Entire Agreement: These Terms, along with our privacy policies, constitute the entire agreement between you and NoteArch.
Severability: If any provision is found invalid, the remaining provisions remain enforceable.
Assignment: You may not assign your rights under these Terms without NoteArch’s consent. NoteArch may assign its rights at its discretion.
